Vivo Participações SA is the leading provider of cellular telecommunications services in Brazil. Through its subsidiary Vivo S.A., the company provides services in the states of São Paulo, Paraná, Santa Catarina, Acre, Amazonas, Amapá, Distrito Federal, Goiás, Maranhão, Mato Grosso, Mato Grosso do Sul, Pará, Rondônia, Roraima, Tocantins, Bahia, Sergipe, Rio de Janeiro, Espirito Santo and Rio Grande do Sul. These areas represent approximately 7.3 million square kilometres and 85.6% of the Brazilian territory. They include more than 138.8 million people, representing 73.8% of Brazil's population.

In August 2007, Vivo signed a stock purchase agreement with Telpart Participações Ltda to acquire control of Telemig Celular Participações SA (Telemig Participações) and its subsidiary Telemig Celular, and Tele Norte Celular Participações SA (Tele Norte Participações) and its subsidiary Amazônia Celular, comprised of 22.72% and 19.34% of total capital, respectively, for an aggregate amount of R$1.2 billion, subject to certain price adjustments. Telemig Celular is the leading wireless operator in the Minas Gerais region, with 3.5 million subscribers and a 31% market share. Amazônia Celular is the third largest wireless operator in the Amazonia region with 1.3 million subscribers and a 22% market share. Upon completion of this transaction, Vivo will reach 84% of Brazil’s total population.

Vivo Participações is a publicly-traded company whose controlling shareholders, as of June 30, 2007, were BRASILCEL N.V. and its subsidiaries Portelcom Participações S.A., Sudestecel Participações Ltda, Avista Participações Ltda, TBS Celular Participações Ltda and Tagilo Participações Ltda, which, together, excluding treasury shares, held 62.8% of the total capital stock. The controlling shareholders of BRASILCEL N.V. are Telefónica Móviles S.A. (50% of the total capital stock), PT Móveis, Serviços de Telecomunicações SGPS S.A. (49.999% of the total capital stock) and Portugal Telecom SGPS S.A. (0.001% of the total capital stock).
